BELIBELI SUPER APP MERCHANT TERMS AND CONDITIONS

​

These Terms and Conditions ("Agreement") are made by and between Belibeli Super App by Solaku Sdn Bhd (company registration 1280947-P) ("Belibeli"), and the Merchant as signed at the end of this document. Belibeli and Merchant may each be referred to individually as a "Party" or collectively as the "Parties."

1. PURPOSE

The purpose of these Terms and Conditions is to set forth the terms under which the Merchant will use the Belibeli platform to offer and sell products and/or services.

2. OBLIGATIONS OF THE PARTIES

2.1 Belibeli's Obligations

(a) Provide the Merchant with access to the Belibeli platform for the purpose of listing and selling their products and/or services.
(b) Support the Merchant through dedicated marketing efforts to increase visibility and reach more customers.
(c) Ensure the platform is operational and functional for Merchant use.

2.2 Merchant's Obligations

(a) Pay a subscription fee of RM100 monthly.
(b) Own or manage a business suitable for the Belibeli platform.
(c) Provide quality products and/or services to ensure customer satisfaction.
(d) Maintain high standards for products or services and engage with customers to encourage repeat business.
(e) Participate in promotions and community activities to enhance business visibility.
(f) Comply with all applicable laws and regulations in the conduct of business.
(g) Ensure all product or service information on the platform is accurate and up to date, including full pricing with tax to avoid misrepresentation.
(h) Handle all transactions through the Belibeli platform. For COD (Cash on Delivery) transactions, the Merchant will receive payment directly from the rider upon collection.
(i) For registered businesses, provide a valid trade license. For individual home-based sellers, provide personal identification accompanied by a letter of support from a local authority (e.g., Ketua Kampung, Temenggong).
(j) Choose to accept Cash on Delivery (COD) only, online payment only, or both. While both options are recommended to accommodate customer preferences, the choice is up to the Merchant.
(k) Operate their business according to the times set on the platform and ensure to disable or set offline their business during holidays or days off to prevent customer bookings.

3. PAYMENT TERMS

3.1 Subscription Fee

(a) The Merchant agrees to pay a non-refundable subscription fee of RM100 per month.
(b) Subscription payments can be made through the app. For assistance, contact the number on our website belibeli24.com to make payment to Solaku Sdn Bhd, Maybank account.
(c) If the Merchant fails to pay the subscription fee, Belibeli reserves the right to suspend the Merchant's account until payment is received.

3.2 Transaction Fees

(a) A 3% fee applies to online transactions. No charge for COD (Cash on Delivery) transactions.
(b) Payments for online transactions will be deposited into the Merchant's wallet on the platform and can be withdrawn within 24-48 hours on working days, depending on the bank's processing time.

4. TYPES OF BUSINESSES WELCOME

4.1 Eligible Businesses

(a) Retail Stores: Clothing, accessories, electronics, and more.
(b) Food and Beverage: Restaurants, cafes, food trucks, and catering services.
(c) Service Providers: Cleaning services, repair services, beauty salons, and more.
(d) Local Artisans: Handmade crafts, artwork, and unique products.
(e) Home-based Sellers: Small businesses run from home, offering a variety of products or services.

5. PROHIBITED BUSINESSES

Merchant agrees not to list or sell the following types of products or services on the Belibeli platform: (a) Any items prohibited by Malaysian law.
(b) Adult content or services.
(c) Tobacco products and alcohol.
(d) Hazardous or dangerous materials.

6. QUALITY AND CUSTOMER SERVICE

6.1 Quality Standards

(a) Merchant shall maintain high standards for their products or services.

6.2 Incorrect or Poor Quality Items

(a) If the Merchant provides incorrect or poor-quality items, the Merchant agrees to cover the costs of return and re-delivery attempts.
(b) The Merchant is responsible for ensuring that the correct items are prepared and delivered as advertised on the platform.

6.3 Liability for Services

(a) The Merchant is liable for any incorrect services provided or any harm caused by their services.
(b) The Merchant agrees to compensate the customer for any losses or damages resulting from incorrect services or harm caused.

6.4 Customer Engagement

(a) Merchant agrees to engage with customers and provide excellent service to encourage repeat business.

6.5 Account Suspension

(a) Belibeli reserves the right to suspend the Merchant's account in case of poor performance, scamming, or causing harm to customers. Suspension will be in accordance with local laws and regulations.

7. ORDER CANCELLATION POLICY

7.1 Non-Cancellation Policy

(a) Once an order is confirmed and received, it cannot be canceled. This policy is communicated to customers to ensure they are aware that processing incurs costs for partners.
(b) Exceptions may be made if the booking has not incurred any costs and both the customer and the Merchant agree to the cancellation.

8. CONFIDENTIALITY

8.1 Confidential Information

(a) Each Party agrees to keep confidential any proprietary information, trade secrets, or confidential information of the other Party.
(b) The Merchant agrees not to disclose customer information to third parties.

9. FORCE MAJEURE

9.1 Limited Liability

(a) Belibeli is not liable for any failure to perform due to causes beyond its reasonable control, including acts of God, force majeure, or third-party failures (e.g., telco outages).

10. GOVERNING LAW

These Terms and Conditions shall be governed by and construed in accordance with the laws of Malaysia.

​

11. ENTIRE AGREEMENT

These Terms and Conditions constitute the entire agreement between the Parties and supersede all prior understandings, agreements, or representations, whether written or oral, regarding the subject matter herein.

​

12. AMENDMENTS

These Terms and Conditions may only be amended or modified by a written agreement signed by both Parties.

​

13. NOTICES

Any notices required or permitted under these Terms and Conditions shall be in writing and shall be deemed delivered when delivered in person or deposited in the Malaysian mail, postage prepaid, addressed to the other Party at the address shown below.

​

14. DISPUTE RESOLUTION

14.1 Mediation

(a) In the event of any dispute arising out of or relating to these Terms and Conditions, the Parties agree to first attempt to resolve the dispute through mediation.

​

15. TERMINATION

(a) Either Party may terminate this Agreement with 30 days' written notice to the other Party. The subscription fee is non-refundable.
(b) Belibeli may terminate this Agreement immediately if the Merchant breaches any terms of this Agreement or engages in activities that may harm the reputation of Belibeli.

16. INDEMNIFICATION

(a) The Merchant agrees to indemnify and hold harmless Belibeli, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or related to the Merchant's use of the platform, breach of this Agreement, or violation of any rights of a third party.

17. LIMITATION OF LIABILITY

(a) To the maximum extent permitted by law, Belibeli shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) the Merchant's use of the platform; (ii) any unauthorized access to or use of the platform; or (iii) any interruption or cessation of transmission to or from the platform.

18. PRIVACY POLICY

(a) Belibeli shall comply with applicable data protection laws regarding the handling of personal data.
(b) The Merchant agrees to Belibeli's collection, use, and disclosure of personal data as described in Belibeli's Privacy Policy, which is incorporated into this Agreement by reference.

19. INTELLECTUAL PROPERTY

(a) The Merchant grants Belibeli a non-exclusive, royalty-free license to use the Merchant's trademarks, logos, and other intellectual property for the purpose of promoting the Merchant's products or services on the platform.
(b) The Merchant shall not use Belibeli's trademarks, logos, or other intellectual property without Belibeli's prior written consent.

20. ACCEPTANCE OF TERMS

By paying the subscription fee and listing your business on the Belibeli platform, you agree to the terms and conditions set forth in this Agreement.
